CLOUD COMPUTING AND SOFTWARE

We counsel technology clients on  developing go to market strategies and drafting and negotiating technology transactions. We regularly act as “outsourced general counsel” for technology companies.

We have deep knowledge, developed over decades and hundreds of deals, in analyzing transactions that are critical to  technology companies, including:

  • Growth strategies appropriate for each stage of a company’s development
  • direct sales with customers
  • channel sales with re-sellers, referral partners, value added re-sellers and OEMs
  • Strategic alliance transactions with technology development partners
  • In-bound technology licenses

Our expertise includes addressing data privacy and cyber-security topics that often concern technology customers, create sales friction and delay closings.

We also assist with technology M&A transactions by conducting detailed due diligence investigations regarding IP ownership and related issues to quickly identify and assess matters that are critical to the value of a business.

HARDWARE

Our firm  has negotiated hardware design and manufacturing contracts in the following areas, with leading hardware manufacturers, designers and parts suppliers.

We strive to negotiate reasonable manufacturing terms for innovative clients with new products and limited market history. Our experience includes drafting and negotiating:

    • Complex, custom hardware manufacturing agreements with global electronics manufacturers such as Foxconn
    • Downstream vendor supply agreements for hardware manufacturing
    • Product design and testing agreements
    • We also assist with factory selection and factory standards.
      • For example, we have reviewed the legal portions of hardware manufacturing RFPs and been a member of our client’s team to down-select factories during the RFP bidding process.
      • We also have drafted the legal aspects of SOWs with design objectives, performance and cosmetic specifications, quality requirements, and other unique details related to product design and volume manufacturing.
