TECHNOLOGY TRANSACTIONS Q3 2024

  • Young client. Tossed out the client’s templates for customer pilots and paid engagements which had been drafted by non-lawyers. Drafted new forms from scratch with modern, sales friendly, risk balanced terms, taking into account this young client’s need to build a base of successful deployments. Client is moving this quarter from a string of successful pilots to its first full license agreements with enterprise customers, so fair but customer-friendly terms are essential.
  • Established client. Worked with client’s head of strategic partnerships to build client’s first OEM and MSSP partner programs. Stress-tested forms by launching negotiations with publicly traded target partners.
  • We had the good fortune to be invited to IMEC ITF World 2024 in Antwerp, Belgium, to explore semiconductor advances and deep-tech solutions for health, pharma, automotive, AI, and other application domains.

CYBER SECURITY Q3 2024

  • Established client. Negotiated set of cyber security tool license agreements with extensive information security requirements across the table from global Big Four accounting firm, where each Big Four office had its own deal team and its own level of risk tolerance. Big Four offices in The Netherlands, the UK, Canada, Brazil.

DATA PRIVACY Q3 2024

  • Young clients. Drafted template Data Processing Agreements for several young clients (as processor), for use with the clients’ customers (as controller). Fair terms, legally compliant, but processor friendly. Explained the purpose of the DPA, commitments to be followed, negotiation challenges.
  • Established client. Addressed client’s growing interest in working with AI-enabled vendors. Scoped and protected use of client’s personal data and other business data by AI vendors to ensure client’s compliance with its own data protection program and client’s data protection commitments to its end users. AI vendors include IBM Watson, Anthropic, ChatGPT.
  • Michigan Law International Transactions Clinic. Finalized GDPR Binding Corporate Rules and Intercompany Agrement for global corporation based in Switzerland, with group members in the EU, Africa. Final documents will be presented to Group Board of Directors and, eventually, the relevant supervisory authorities for approval.

HR AND EMPLOYMENT LAW Q3 2024

  • All clients. Advised clients on California’s 2/24 Assembly Bill 1076 regarding employee non-competes.
  • Established client. High growth tech company with high hire/fire rates. Drafted on-boarding templates, including offer letter and invention assignment agreement, that are state compliant in seven states. Drafted separation agreement templates that are state compliant in numerous states.
